what is the difference between 120Hxz and 240Hz

Technically that is the number of times the screen refreshes a new image per second. But in reality almost nothing, not even blu ray will use more than 60. Companies use it as more of a Marketing gimmick.

IF I DONT HAVE CABLE OR SATELITE,HDTV WORK....?

Not technically but anything in standard definition still would look noticeably clearer and more vivid on a new TV, Regardless of if it is actually HD content you are viewing
