I have had a Nikon D50 for 4 years and have taken some great shots with the 18-55mm kit lens and the 55-200mm (non-VR) lens that I bought to shoot my kids' soccer, lacrosse, football, etc. games. I spent a lot of time researching the options available for an upgrade, and ended up choosing the 70-300mm VR over the the 55-300mm VRII based on a number of factors including lack of distortion, better build quality, and tack sharpness throughout the range of the zoom. In short, I have not been disappointed. This lens is much heavier than most of the DX-specific lenses I have tried. And for those of you who have not stepped up to a VR lens -- the difference is incredible. I had become accustomed to not being able to take sharp pictures at an indoor swim meet without a flash -- VR makes it so easy to take sharp pictures at 300mm on longer exposures that I don't think twice about taking the shot any more.
What's great about it: Solid build quailty, I can now get the pictures that I couldn't before!
What's not so great: Expensive
I would recommend this to a friend!

Why would one buy the 70-300 VR when the 55-300 VR has very similar specs, a wider range, is lighter, and cheaper?

After looking both of these lenses I chose the 70-300 based on the following:
1.) Better build quality -- it feels more substantial and clicks more assuredly when I mount it on my camera than any of the DX lenses I own
2.) Excellent sharpness -- other reviews indicate that the 55-300 gets a little soft past 200mm, from personal experience the 70-300 is very sharp all the way to 300mm
3.) A/M -- in auto-focus mode, you can manually adjust focus without shifting modes if the auto-focus is not where you want it
4.) FX format -- future proofs me for the time when I can spend the money for an FX format camera and provides a little extra reach (100-420) on my DX camera
